Terms of Service

These Terms of Service ("Terms") govern your access to and use of Trace, the AI browser developed and distributed by Breadcromb. By downloading, installing, or using Trace, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not download, install, or use Trace.

1. Definitions

"Software" or "Trace" means the Trace AI browser application, including all updates, patches, and associated documentation, developed and distributed by Breadcromb.

"Service" means the features, functionality, and optional cloud services provided by Breadcromb in connection with the Software.

"User", "you", or "your" means the individual or legal entity that downloads, installs, or uses Trace.

"Content" means any web pages, documents, text, data, or other material that you access, view, or index using Trace.

"Personal Memory" means the local database of indexed Content and associated AI-generated summaries, embeddings, and metadata stored on your device.

"Breadcromb", "we", "us", or "our" means Breadcromb, the company that develops and operates Trace.

2. Eligibility

You must be at least 16 years of age to use Trace. If you are between 16 and 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By using Trace, you represent and warrant that you have full legal capacity to enter into a binding agreement, and that your use of Trace does not violate any law or regulation applicable to you.

3. License Grant

Subject to your compliance with these Terms, Breadcromb grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use Trace solely for your personal and professional purposes on devices you own or control.

This licence does not include the right to: (a) sublicence, sell, resell, or commercialise Trace or access to the Service; (b) copy, modify, or create derivative works of any closed-source components of Trace; (c) use Trace to build a competing product or service; or (d) use Trace in any manner that violates these Terms.

4. Prohibited Conduct

You agree not to use Trace to: (a) index, store, transmit, or distribute content that is unlawful, defamatory, obscene, harassing, threatening, or invasive of any person's privacy; (b) infringe, misappropriate, or violate any third-party intellectual property rights, including copyright, trademark, trade secret, or patent rights; (c) scrape, harvest, or collect data from third-party services in violation of their terms of service; (d) transmit malware, viruses, ransomware, or any other malicious or harmful code.

You further agree not to: (e) attempt to gain unauthorised access to Breadcromb's systems, servers, or networks; (f) interfere with or disrupt the integrity or performance of the Service; (g) circumvent, disable, or interfere with any security or technical protection features of Trace; (h) reverse-engineer, decompile, or disassemble any closed-source component of Trace, except to the extent expressly permitted by mandatory applicable law; (i) impersonate any person or entity, or falsely represent your affiliation with any person or entity; or (j) use Trace in connection with any activity that is illegal, fraudulent, or harmful to Breadcromb or any third party.

5. User Data and Privacy

Your indexed Content is stored locally on your device by default and is never transmitted to our servers without your explicit consent. You are responsible for ensuring that any Content you index is Content you are lawfully permitted to access and store.

If you enable cloud synchronisation, your indexed Content is transmitted to and stored in a Supabase-hosted database under your account. You retain all ownership rights in your Content. By using cloud sync, you grant Breadcromb a limited, non-exclusive licence to host and transmit your Content solely as necessary to provide the Service.

We do not sell your personal data to third parties. For full details on data handling, retention, and your rights, please review our Privacy Policy, which is incorporated into these Terms by reference.

6. Third-Party AI Services

Trace supports integration with third-party AI providers including Ollama, Azure AI Foundry, OpenAI, Anthropic, and Google Gemini (collectively, "AI Providers"). By enabling an AI integration, you authorise Trace to transmit your queries and relevant context from your Personal Memory to the selected AI Provider.

Each AI Provider is governed by its own terms of service and privacy policy. You are solely responsible for reviewing and complying with the applicable terms before enabling any integration. Breadcromb is not a party to, and is not responsible for, any agreement or relationship between you and any AI Provider.

Breadcromb makes no warranties regarding the availability, accuracy, or reliability of any third-party AI service and is not liable for any loss or damage arising from your use of third-party AI integrations.

7. AI Outputs, No Professional Advice

Responses, summaries, and other outputs generated by AI models within Trace, whether via local models or third-party AI Providers, are provided for informational and productivity purposes only. They do not constitute professional advice of any kind, including but not limited to legal, medical, financial, psychological, or investment advice.

You should not rely on AI-generated output as a substitute for consultation with a qualified professional. Always seek the advice of a licensed professional before making decisions that may have significant legal, medical, financial, or other material consequences.

Breadcromb expressly disclaims all liability arising from your reliance on AI-generated content produced through or in connection with Trace.

8. Intellectual Property

Trace, its underlying technology, and all associated intellectual property, including but not limited to closed-source software, branding, trademarks, logos, and documentation, are owned by or licensed to Breadcromb. Nothing in these Terms transfers any intellectual property rights to you.

Breadcromb and Trace are trademarks of Breadcromb. You may not use any Breadcromb trademark without prior written permission.

Content you index using Trace remains your property. Breadcromb does not claim any ownership over Content you access or store through the app.

9. Open-Source Components

Certain components of Trace are made available as open source under the MIT Licence (or other open-source licences as specified in the relevant source files). Your use of those open-source components is governed by the applicable open-source licence, which takes precedence over these Terms with respect to those specific components.

The open-source repository is available at github.com/breadcromb/trace. These Terms do not restrict any rights granted to you under an applicable open-source licence.

10. Indemnification

You agree to defend, indemnify, and hold harmless Breadcromb and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of Trace or the Service; (b) your breach of any provision of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any Content you index, store, or transmit using Trace.

Breadcromb reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with our defence of such claims and not to settle any claim without Breadcromb's prior written consent.

11. Disclaimer of Warranties

TRACE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BREADCROMB DOES NOT WARRANT THAT: (A) TRACE WILL MEET YOUR REQUIREMENTS; (B) TRACE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED THROUGH TRACE WILL BE ACCURATE OR RELIABLE; OR (D) ANY DATA STORED THROUGH TRACE WILL BE RETAINED, COMPLETE, OR RECOVERABLE.

No advice or information, whether oral or written, obtained from Breadcromb or through Trace creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of implied warranties; in such jurisdictions the above exclusions apply to the maximum extent permitted by applicable law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREADCROMB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, TRACE OR THE SERVICE.

IN NO EVENT SHALL BREADCROMB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO BREADCROMB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED EUROS (€100).

These limitations apply even if Breadcromb has been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy. Some jurisdictions do not allow limitations on incidental or consequential damages; in such jurisdictions Breadcromb's liability is limited to the maximum extent permitted by law.

13. Term and Termination

These Terms remain in effect from the date you first use Trace until terminated. You may terminate at any time by uninstalling Trace and ceasing all use of the Service.

Breadcromb may suspend or terminate your access to the Service immediately and without prior notice if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) we reasonably believe your use of Trace poses a security risk; or (d) we decide to discontinue the Service, with reasonable advance notice where practicable.

Upon termination, your licence to use Trace ceases immediately. Cloud-synced data associated with your account may be deleted after a reasonable retention period as described in our Privacy Policy. Sections 1, 8, 9, 10, 11, 12, 14, 15, and 16 of these Terms survive termination.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Subject to any mandatory consumer protection rights applicable in your country of residence, any dispute arising out of or relating to these Terms or your use of Trace shall be submitted to the exclusive jurisdiction of the competent courts of France.

If you are a consumer resident in a European Union Member State, you may also benefit from any mandatory consumer protection provisions of the law of your country of residence, and you may bring proceedings in the courts of your country of habitual residence.

15. Dispute Resolution

Before initiating any formal legal proceedings, you agree to contact Breadcromb at hello@breadcromb.com and attempt to resolve the dispute informally for at least thirty (30) days from the date of written notice.

For EU and EEA residents: In accordance with Regulation (EU) No 524/2013, you may submit a complaint through the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief.

16. General Provisions

Severability: If any provision of these Terms is found invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force.

Entire Agreement: These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Breadcromb regarding Trace and supersede all prior agreements or understandings.

Waiver and Assignment: Breadcromb's failure to enforce any right or provision is not a waiver. You may not assign these Terms or any of your rights without Breadcromb's prior written consent. Breadcromb may assign these Terms without restriction.

Export Compliance: You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a French or EU government embargo and that you are not named on any list of prohibited or restricted parties.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date above and notify you through the application or by email where reasonably practicable.

For changes that materially affect your rights or obligations, we will provide at least 30 days' advance notice to paid users before the changes take effect.

Your continued use of Trace after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using Trace.
